  BACKGROUND:

  This agreement applies as between you, the User of this Web Site or Client and Health Sector Publishing Ltd (HSP), the owner of this Web Site. Your agreement to comply with and be bound by these Terms and Conditions is deemed to occur upon your first use of the Web Site. If you do not agree to be bound by these Terms and Conditions, you should stop using the Web Site immediately.

  1. Definitions and Interpretation

  In this Agreement the terms below shall have the following meanings:

  • “Account” means collectively the personal/company information and credentials used by Clients and Users of any System on the Web Site;
  • “Advertisement” any advertisement including job listings, premium banners, home page banners, featured recruiter, company profile, job alert sponsorship;
  • “Applicant” a candidate that applies for a vacancy advertised on the site;
  • “Candidate” a person who uses the Site for the purpose of finding employment or seeking information;
  • “Company Profile” a page that allows Clients to give details about their company including but not limited to company overview, news, awards, contact details;
  • “Conditions” these Terms and Conditions;
  • “Content” means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Web Site;
  • “Contract” the contract for the supply of any Services by HSP to the Client comprising a signed agreement;
  • “Client” any person using and purchasing Services, where a Person includes bit is not limited to, Direct Employers, Recruitment Agencies, Recruitment Processing Outsourcing companies acting on behalf of one of their own End Clients;
  • “CV” the curriculum vitae or details of a candidates education, training, skills and employment experience which is provided to HSP by a Candidate for distribution to Clients with a view to securing employment;
  • “CV Bank” service which allows Clients to search for and view CV’s online;
  • “Direct Employer” a Client who in relation to the Services is receiving them for the purpose of their own recruitment needs and not on behalf of any 3rd party End Client;
  • “End Client” the person whom the Client’s services are provided;
  • “Featured Recruiter” a button on each page of the Site that allows companies to include a logo and text;
  • “HSP” means Health Sector Publishing Ltd, Warren House, Warren Road, Kingston-upon-Thames, Surrey, KT2 7HY;
  • “Job alerts” email and text messages sent to Candidates detailing jobs that are related to their Search Criteria;
  • “Job Listing” a vacancy that is added to the site and is included in the job search results where it is applicable to the search criteria;
  • “Logo” Client logo/image for use on job listings and company profiles;
  • “Premium Banner” a banner that can appear on any page of the Site above the main content;
  • “Recruiter” any person working on behalf of the Direct Employer or Recruitment Agency Client and who is authorised by the Client to use the services;
  • “Recruitment Agency” an Employment Agency or Employment Business as defined by the Employment Agencies Act 1973;
  • “RecruitmentProcess Outsourcing Agency” a Recruitment Agency who also carry out the selection and placement process on behalf of the End Client;
  • “Service” means collectively any online facilities, tools, services or information that Health Sector Publishing Ltd makes available through the Web Site either now or in the future;
  • “Signed Agreement” Signed order between HSP and the Client documenting the services booked;
  • “Services” means the paid for services available to you through this Web Site, specifically job listings, banners, featured recruiter buttons, jobs of the week, CV bank, job alerts sponsorship;
  • “Site”the site at http://www.pharmafield.co.uk or any other sub domain of this site;
  • “Payment Information” means any details required for the purchase of Services from this Web Site. This includes, but is not limited to, credit / debit card numbers, bank account numbers and sort codes;
  • “Purchase Information” means collectively any orders, invoices, receipts or similar that may be in hard copy or electronic form;
  • “Premises” Means our place(s) of business located at Studio 4, Clark’s Courtyard, 145 Granville Street, Birmingham, B1 1SB;
  • “Recruiter Admin Area” Administrative area available to Clients to manage their Job listings and Company Profile;
  • “System” means any online infrastructure that HSP makes available through the Web Site either now or in the future. This includes, but is not limited to, recruiter administrative area, message boards and email links;
  • “User” / “Users” means any third party that accesses the Web Site and is not employed by HSP and acting in the course of their employment;
  • “Web Site” means the website that you are currently using (http://www.pharmafield.co.uk; http://www.pharmajobs.co.uk) and any sub-domains of this site (http://www.pharmafield.co.uk/survey) unless expressly excluded by their own terms and conditions;

  2. Business Customers

  These Terms and Conditions apply to business customers only.

  3. Intellectual Property

  • 3.1 Subject to the exceptions in Clause 4 of these Terms and Conditions and the information provided by Client companies, all Content included on the Web Site, including, but not limited to, text, graphics, logos, icons, images, sound clips, video clips, data compilations, page layout, underlying code and software is the property of HSP. By continuing to use the Web Site you acknowledge that such material is protected by applicable United Kingdom and International intellectual property and other laws.
  • 3.2 Subject to Clause 5 you may not reproduce, copy, distribute, store or in any other fashion re-use material from the Web Site unless otherwise indicated on the Web Site or unless given express written permission to do so by HSP.

  4. Fair Use of Intellectual Property

  Material from the Web Site may be re-used without written permission where any of the exceptions detailed in Chapter III of the Copyright Designs and Patents Act 1988 apply.

  5. Links to Other Web Sites

  This Site may contain links to other sites. Unless expressly stated, these sites are not under the control of HSP. We assume no responsibility for the content of such web sites and disclaim liability for any and all forms of loss or damage arising out of the use of them. The inclusion of a link to another site on this Web Site does not imply any endorsement of the sites themselves or of those in control of them.

  6. Services – General Use

  • 6.1 The Client agrees to provide HSP, in such a format as HSP may request, any information, design work, artwork and logos necessary to enable HSP to provide the agreed Services.
  • 6.2 HSP shall not be obliged to provide any Services until the Client has supplied it with the information, design work, artwork and logos necessary to provide those Services. Such information shall be supplied within 5 days of the date of the Signed Agreement, or such later date as agreed by HSP. If the Client fails to supply HSP with the information then clause 14.1 still applies
  • 6.3 HSP shall make such modifications to any Advertisement as are reasonably requested by the Client provided that HSP reserves the right to charge at the rate of 60 Pounds Sterling per hour for the time involved in connection with these changes
  • 6.4 The Client may remove an Advertisement from the Site before the Advertisement has reached its expiry date, but shall not be entitled to a refund for the time not used. The Client may extend the term of an Advertisement provided they have purchased a sufficient quota of the relevant Service.
  • 6.5 The Client may remove an Advertisement from the Site before the Advertisement has reached its expiry date, but shall not be entitled to a refund for the time not used. The Client may extend the term of an Advertisement provided they have signed an agreement to extend the length of the relevant Services.
  • 6.6 If any of the Services are not used within the agreed time frame, then in each case the Client shall still be responsible for the full payment of the invoiced amount as if the services had been properly and fully provided.
  • 6.7 HSP will use its reasonable endeavours to provide all Services on the agreed date. HSP does not accept liability for any consequences, however arising, due to error or delay in provision of the Services and has the right at its sole discretion to decline to publish or omit, suspend or change the position of any Advertisement or Services.
  • 6.8 HSP may at its discretion and without prior notice, report any Advertisement which in its reasonable opinion is being used for an improper or illegal purpose by a Client to the relevant authorities including, without limitation, the Department of Employment, the Office of the Information Commissioner and the Recruitment and Employment Confederation. HSP may also disclose information about any Client to any third party that it deems necessary to protect its interests or the interests of Clients, Recruiters, Candidates, Applicants and/or other users of the Site.
  • 6.9 HSP will only make available or supply copies of the CVs that have been received by it for distribution to Clients of HSP solely for the purpose of securing suitable employment for the Candidates.
  • 6.10 When using any System or facility on the Web Site you should do so in accordance with the following rules:
    • 6.10.1 obscene or vulgar language must not be used;
    • 6.10.2 Content that is unlawful or otherwise objectionable must not be submitted. This includes, but is not limited to, Content that is abusive, threatening, harassing, defamatory, ageist, sexist or racist;
    • 6.10.3 Content that is intended to promote or incite violence must not be submitted;
    • 6.10.4 the means by which Users identify themselves must not violate these terms of use or any applicable laws;
    • 6.10.5 Users must not impersonate other people, particularly employees and representatives of HSP or our affiliates; and
  • 6.11 You acknowledge that HSP reserves the right to monitor any and all communications made using our System.

  7. Job Listings

  If the Services include Job listings the provisions of this clause 7 shall apply.

  • 7.1 Job listings are to be inputted by the Client or a designated employee of the Client via the Recruiter Admin Area;
  • 7.2 It is the Clients responsibility to upload their logo to their Recruitment Admin Area this should be 70 x 33 pixels;
  • 7.3 Job listings will remain on the site in multiples of 28 days;
  • 7.4 Job listings will remain live on the site and available for searching via the internet for the number of days specified by the Client;
  • 7.5 Any job listing(s) placed on the site by the client may be removed by the client at any time. The Client will be charged for the full number of days for which the job listing(s) were originally placed;
  • 7.6 A single job listing shall contain the details, accurately describe and pertain to no more than a single vacancy;
  • 7.7 HSP may edit, remove or refuse to publish any Job Listing it deems inappropriate;
  • 7.8 It is the Clients responsibility to renew these listings. HSP accepts no responsibility for any job listing being removed from the site when the expiry date is reached;
  • 7.9 The uploading of Job listings will not be permitted until a Signed Agreement is received by HSP from the Client;
  • 7.10 Where the Client chooses to use Vacancy Posting Software to submit a Job Listing(s), the Client accepts that any malfunction of, or change to, the Vacancy Posting Software or its incompatibility with HSP’s Systems causing incorrect, missing or multiple submissions to the site is entirely the responsibility of the Client and the Client agrees that any quota of services used and the Fees incurred will be payable in full;

  8. Company Profiles

  If the Services include Company Profile the provisions of this clause 8 shall apply.

  • 8.1 All Company Profiles will be loaded online by the Client. The content of the company profile should concur with clause 18.1 and should comply with all other provisions of the contract;
  • 8.2 HSP reserve the right to remove any content from a company’s profile should it deem it to be inappropriate;
  • 8.3 Company profiles will remain on the site in multiples of 28 days;

  9. Premium Banners

  If the Services include Premium Banners the provisions of this clause 9 shall apply.

  • 9.1 Premium Banners may link to a Clients website or the Clients Job Listings;
  • 9.2 Premium Banners must be of the following dimensions 271 x 49 pixels;
  • 9.3 It is the Clients responsibility to supply the Premium Banner to the correct specification;
  • 9.4 HSP may require the Premium Banner to be changed at anytime in order that it contrasts suitably with the site;
  • 9.5 HSP may require the Premium Banners to be changed if it is affecting the efficient functioning of the site;
  • 9.6 Premium Banners can be booked on to any page of the website;
  • 9.7 Premium Banners will only appear on the pages that have been booked by the client in a Signed Agreement;

  10. Top Banner

  If the Services include a Top Banner the provisions of this clause 10 shall apply.

  • 10.1 Top Banners may link to a Clients website or the Clients job listings on the Site;
  • 10.2 Top Banners must be of the following dimensions 468 x 68 pixels;
  • 10.3 It is the Clients responsibility to supply the Top Banner to the correct specification;
  • 10.4 HSP may require the Top Banner to be changed at anytime in order that it contrasts suitably with the site;
  • 10.5 HSP may require the Top Banners to be changed if it is affecting the efficient functioning of the site;
  • 10.6 Top banners can be booked on to any page of the website;
  • 10.7 Top banners will only appear on the pages that have been booked by the client in a Signed Agreement;

  11. CV Bank

  If the Services include the CV Bank the provisions of this clause 11 shall apply.

  • 11.1 A CV is made available to a client following any instruction from a Candidate that his or her details should be made available. In the event that HSP has reason to believe or suspect that it’s CV bank is being abused by the client HSP reserves the right to immediately suspend or terminate the Contract;
  • 11.2 HSP cannot guarantee the minimum number of CVs available on any given day;
  • 11.3 The CV bank is available in multiples of 28 days as requested by the Client;
  • 11.4 The CV bank is only available to clients who have purchased job listings at the time of wishing to gain access to the CV bank;
  • 11.5 In relation to the CV bank the Client will ensure that no automatic extraction software or any other means are engaged or deployed, either temporary or a permanent basis. Unless specifically requested by the Client and approved in writing by the General Manager of HSP;

  12. Job Alerts

  If the Services include Job Alerts the provisions of this clause 12 shall apply.

  • 12.1 Job Alerts are only sent to Candidates that have requested to receive Job Alerts based on their chosen search criteria;
  • 12.2 Sponsorship of Job Alerts are available to Clients in the form of a Banner advertisement which can link to the Clients website or their Job listings only;
  • 12.3 HSP cannot guarantee how many job alerts will be sent out on a daily basis;

  13. Termination and Cancellation

  • 13.1 Either HSP a Client or a User may terminate an Account and/or Contract. If HSP terminates your Account and/or contract, you will be notified by email, phone or letter and an explanation for the termination will be provided. Notwithstanding the foregoing, we reserve the right to terminate without giving reasons;
  • 13.2 If HSP terminates an Account/Contract, any current services will be stopped;
  • 13.3 HSP reserves the right to cancel services without stating reasons, for any reason prior to processing payment and dispatch;
  • 13.4 If services are cancelled by HSP the Purchaser will be reimbursed for any services paid for but not taken;
  • 13.5 If a Purchaser wishes to terminate their contract with HSP they must do so in writing with 60 days notice to the General Manager;

  14. Payment

  • 14.1 All invoices must be settled within 30 days of the invoice date. If an invoice is overdue HSP reserves the right to suspend the use of the website;
  • 14.2 Failure to pay invoices in accordance with our terms and conditions will make Clients liable to the following surcharge. 3 per cent on the gross rate where the sum owing has been paid on the due date. A further 2 per cent, making a total of 5 per cent, on the gross rate, where the sum owing remains unpaid one month or more after the due date. The existence of a query on any individual item in an account shall not affect the due date of payment of the balance of the account;

  15. Pricing and Availability

  • 15.1 HSP cannot guarantee that all services will be available;
  • 15.2 All pricing information on the Site is correct at the time of going online. HSP reserves the right to change prices from time to time and as necessary;
  • 15.3 All prices on the Web Site do not include VAT. HSP’s VAT number is 3685967;
  • 15.4 The rates shall be those rates as agreed between HSP and the Client in the Contract;

  16. Privacy

  • 16.1 Use of the Web Site is also governed by our Privacy Policy. To view the privacy policy please click on the link;

  17. Disclaimers

  • 17.1 HSP makes no warranty or representation that the Site will meet your requirements, that it will be of satisfactory quality, that it will be fit for a particular purpose, that it will not infringe the rights of third parties, that it will be compatible with all systems, that it will be secure and that all information provided will be accurate. We make no guarantee of any specific results from the use of our Services;
  • 17.2 No part of this Site is intended to constitute advice and the Content of this Web Site should not be relied upon when making any decisions or taking any action of any kind;

  18. Obligations of the Client

  • 18.1 The Client hereby undertakes and warrants to HSP that:
    • 18.1.1 To comply with the provisions of the Data Protection Act 1998 or relevant legislation with regard to any Applicant information received by it and in particular to keep such information confidential;
    • 18.1.2 In relation to any Services purchased the Client is a principal notwithstanding that the Client may be acting directly or indirectly for a third party;
    • 18.1.3 The reproduction and/or publication of any Top Banner, Premium Banner, Job Listings, Company Profile, Featured Recruiter or any other Service taken as originally submitted or as amended will not breach any agreement or infringe or violate any right of any person or render HSP liable to any proceedings whatsoever and the Client indemnifies HSP against all cost, claims, damages, loss, expenses and liabilities suffered or incurred by HSP as a result of this undertaking and warranty being incorrect;
    • 18.1.4 Any information provided by the Client in connection with the provision of the Services is accurate, complete and true;
    • 18.1.5 Any Advertisement is legal, decent, honest and truthful and complies with all applicable laws, rules, regulations and codes relating to advertising as may be appropriate;
    • 18.1.6 The Client must comply with all relevant industry Codes of Practice;
    • 18.1.7 The Client shall indemnify HSP against all claims made by the third parties in respect of the misuse of the data supplied to a client;
    • 18.1.8 The Client shall obtain from the Applicant as much information as possible about the Applicants qualifications and experience, as is necessary for determining whether the Applicant is suitable for employment, and shall ascertain that the Applicant has such qualifications as are required by law;
    • 18.1.9 The Client will use all CV’s obtained for the sole purpose of endeavouring to provide or locate employment on behalf of Candidates Changes to the Service and these Terms and Conditions The Client must not submit, copy, supply, re-sell, distribute or make available in any way any CV’s or other information received from HSP to any person unless the Client is a recruitment company where it may make CV’s available to its genuine End Clients who intend to recruit such Candidates for their own employment;

  19. Accounts

  • 19.1 In order to use the site Clients and Users are required to create an Account which will contain certain personal details. By continuing to use this Site you represent and warrant that:
    • 19.1.1 all information you submit is accurate and truthful;
    • 19.1.2 if you are using the site on behalf of your employers, you have the authority required; and
    • 19.1.3 you will keep this information accurate and up-to-date.
  • 19.2 It is recommended that you do not share your Account details, particularly your username and password. HSP accepts no liability for any losses or damages incurred as a result of your Account details being shared by you. If you use a shared computer, it is recommended that you do not save your Account details in your internet browser;
  • 19.3 If you have reason to believe that your Account details have been obtained by another without consent, you should contact HSP immediately to suspend your Account. HSP accepts no liability or responsibility for unauthorised changes made to your account;
  • 19.4 When choosing a username Users are required to adhere to the terms set out above in Clause 9. Any failure to do so could result in the suspension and/or deletion of your Account;

  20. Disclaimer

  • 20.1 HSP reserves the right to change the Web Site, its Content or these Terms and Conditions at any time. Users and Purchasers will be bound by any changes to the Terms and Conditions from the first time the Web Site is used by them following the changes. If HSP is required to make any changes to Terms and Conditions relating to sale of services by law, these changes will apply automatically to any orders currently pending in addition to any orders placed by Users in the future;

  21. Availability of the Web Site

  • 21.1 The Service is provided “as is” and on an “as available” basis. We give no warranty that the Service will be free of defects and / or faults. To the maximum extent permitted by the law we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality;
  • 21.2 HSP accepts no liability for any disruption or non-availability of the Web Site resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship;

  22. Limitation of Liability

  • 22.1 To the maximum extent permitted by law, HSP accepts no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Web Site or any information contained therein. Users should be aware that they use the Web Site and it’s Content at their own risk;
  • 22.2 Nothing in these Terms and Conditions excludes or restricts HSP liability for death or personal injury resulting from any negligence or fraud on the part of HSP;
  • 22.3 Nothing in these Terms and Conditions excludes or restricts HSP’s liability for any direct or indirect loss or damage arising out of the incorrect delivery of services or out of reliance on incorrect information included on the Web Site;
  • 22.4 Whilst every effort has been made to ensure that these terms and conditions adhere strictly with the relevant provisions of the Unfair Contract Terms Act 1977, in the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these terms and conditions and shall not affect the validity and enforceability of the remaining terms and conditions. This term shall apply only within jurisdictions where a particular term is illegal;

  23. No Waiver

  In the event that any party to these Terms and Conditions fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy;

  24. Previous Terms and Conditions

  In the event of any conflict between these Terms and Conditions and any prior versions thereof, the provisions of these Terms and Conditions shall prevail unless it is expressly stated otherwise;

  25. Notices

  All notices / communications shall be given to us either by post to our Premises (see address above) or by email to admin@pharmfield.co.uk. Such notice will be deemed received 3 days after posting if sent by first class post, the day of sending if the email is received in full on a business day and on the next business day if the email is sent on a weekend or public holiday;

  26. Law and Jurisdiction

  These terms and conditions and the relationship between you and HSP shall be governed by and construed in accordance with the Law of England and Wales and HSP and you agree to submit to the exclusive jurisdiction of the Courts of England and Wales;
